Legal Counsel - JhbFull job descriptionThe Legal Counsel will provide support to the Company's operations in South Africa including, but not limited to, the management of legal risks associated with general commercial law and other legal aspects of the Company's mining business projects. Advise on the management of legal risks involved in the implementation of the Company's business plan.Who We AreOur Company operates in the vanadium titanomagnetite mining market, where we mine and sell ores a variety of local and international clients, which is further processed and extracted through rotary kiln and electric furnace processes. The mine has the highest vanadium grade in its raw ore, is a world-class mega-mine.Job Description:Drafting, reviewing, negotiating and advising on a variety of commercial contracts which may include: Joint Ventures, documentation associated with M&A’s, disposals, documentation associated with various mining projects and on occasion general agreements such as master service agreements, statements of work, consultancy contracts, loan agreements, discount receivable agreements, inter-group financing arrangements, and supply agreements;Provide advice and opinions on legal issues and risks and refer complex or urgent matters for external advice where appropriate.Assess legal risks associated with contractual arrangements and advise the management team as to risks, strategy and potential costs as well as alternatives for successful and cost effective achievement of commercial objectives.Appoint and liaise with external legal service providers (both external law firms and/or legal process outsourcing firms) and counsel (where required) to support any contracting or commercial regulatory outcome in a cost effective and efficient manner.Partner closely with other department stakeholders to identify issues of risk facing the organization and propose and drive solutions to address them;Manage legal costs in accordance with internal budgets, implement the Company’s Legal Preferred External Law Firm Agreement and apply and innovate alternative billing models for value.Monitor national laws and regulations pertaining to the company's business, including those relating to Compliance;Ensure that the relevant corporate governance is timely and properly applied along the closing of each transactionTo ensure high quality output and compliance at all times with HSE laws.Providing day-to-day legal advice.Qualification:LLB or LLM equivalent.Admitted Attorney in South Africa or equivalent or advocate or equivalent, in all instances previously a member of a law society or of the bar in good standing.Post-admission experience of at least 5 years in a mining legal environment, whether in-house or in practice in Legal 500 firm.Excellent written and spoken English.Knowledge, Skills and Experience:Knowledge of and experience of advising on legal matters for the mining industry in South Africa, including Knowledge: Mining regulatory law, MPRDA, Mining Charter, property laws, environmental laws and other relevant legislation, regulations and case law that has a bearing on mining in South AfricaKnowledge and experience of drafting and reviewing agreements relevant to mining operations in South AfricaComputer Literacy (Microsoft Office Suite)Experience advising on employment matters, including in relation to trade unionsExperience advising on POPIA/PAIA mattersExperience advising and communicating with the DMREAdditional requirementEssential to be deemed medically fit to work onsite in accordance with Group Health and Safety requirements for employeesJob Type: Full-timePay: R50 000,00 - R55 000,00 per monthWillingness to travel:50% (Preferred)Expected Start Date: 2024/05/13
